Buying a contract laboratory: quality questions beyond the equipment list

A contract laboratory’s value depends on more than instruments and capacity. Before an acquisition, understand the testing scope, client commitments, methods, people, systems, and evidence supporting reported results.

Define the regulatory and contractual scope

Determine what the laboratory tests and why. Product quality testing, clinical testing, research, and other laboratory activities may be governed by different requirements. Do not assume one accreditation, registration, or inspection history covers every service.

Trace a report to the original work

Select an authorized example and follow client instructions, receipt, sample condition, method version, preparation, instrument evidence, calculations, review, and reporting. Examine how unexpected results, amendments, and client communications were handled. Treat an unexplained break as an open question rather than inventing a cause.

Examine the interfaces

  • Who owns method changes, deviations, investigations, and reporting decisions?
  • Can original data be retrieved when a client or regulator needs them?
  • Which work is subcontracted, and how is that disclosed and reviewed?
  • What happens to data access, software, and client agreements after ownership changes?

Use the answers to define a risk-based follow-up review with appropriate specialists. A transaction review should state its scope and limitations; it cannot promise every future result will be compliant.

FDA’s 1993 pharmaceutical laboratory inspection guide is historical, nonbinding context, not a current universal rule for all contract laboratories.
